The Legal Bit

Royalty-Free License Agreement

This Royalty-Free License Agreement ("Agreement") is entered into between Music For Media ("Licensor") and the licensee ("Licensee").

1. Grant of License:

Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, worldwide, perpetual, and royalty-free license to use the musical compositions and sound recordings ("Content") provided by Licensor through the Music For Media website.

2. Permitted Uses:

Licensee is permitted to use the Content for the following purposes:

  • Synchronization with visual media, including but not limited to films, videos, advertisements, presentations, and video games.
  • Background music for websites, podcasts, and other digital platforms.
  • Public performance, including but not limited to live events, broadcasts, and presentations.
  • Reproduction and distribution of the Content as part of Licensee's creative projects, provided the Content is not resold or redistributed in its original form.

3. Restrictions:

Licensee may not:

  • Resell, sublicense, or redistribute the Content as standalone audio files.
  • Claim ownership or authorship of the Content.
  • Use the Content in a manner that is defamatory, unlawful, or infringes upon the rights of any third party.

4. Attribution:

While attribution is not required, Licensee agrees to credit Music For Media and the respective creators of the Content whenever reasonably possible.

5. Termination:

This Agreement may be terminated by either party at any time upon written notice. Upon termination, Licensee must cease all use of the Content and destroy any copies in its possession.

6. Indemnification:

Licensee agrees to indemnify and hold harmless Music For Media and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising out of Licensee's use of the Content.

7. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

8. Entire Agreement:

This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements and understandings, whether oral or written.

9. Amendments:

This Agreement may only be amended in writing and signed by both parties.

10. Severability:

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
